The Edwards Plaintiffs argue tht (i) their claims are direct claims against Deloitte, (ii) FHFA has a debilitating conflict of interest, and (iii) shareholders suing Deloitte doesn’t restrain or affect FHFA fs exercise of powers or functions as conservator.
